Acceptance of Terms

By accessing or using the services provided by THOFFICIAL, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, you may not use our services.

These terms constitute a legally binding agreement between you (the "Client") and THOFFICIAL (the "Agency").

Services Provided

THOFFICIAL provides digital services including but not limited to:

• Web development (business websites, e-commerce, dashboards)
• Discord bot development
• AI tools and automation software
• Cloud infrastructure and DevOps solutions
• SEO, performance optimization, and analytics
• Mobile app development
• UX/UI design and content strategy
• Training, support, and maintenance

All services are provided on a project basis with a defined scope of work agreed upon in writing.

Project Agreement & Scope

Before work begins, we will provide a detailed project proposal that includes:

• Project scope and deliverables
• Timeline and milestones
• Total cost and payment schedule
• Roles and responsibilities of both parties

Any changes to the scope must be agreed upon in writing and may result in additional costs and timeline adjustments.

Payment Terms

Our standard payment terms are as follows:

• Deposit: 50% of the total project fee is required before work begins.
• Final Payment: The remaining 50% is due upon project completion and deliverable acceptance.
• Small Projects: For projects under ₨10,000, full payment may be required upfront.
• Payment Methods: We accept bank transfers, Easypaisa, JazzCash, and major credit cards.
• Late Payments: A 5% late fee may be applied to payments overdue by more than 7 days.

Intellectual Property

Ownership of intellectual property is governed by the following:

• Upon Full Payment: All rights to the deliverables (code, designs, content) transfer to the client.
• Portfolio Use: We reserve the right to showcase completed work in our portfolio and marketing materials.
• Third-Party Assets: Any third-party assets (stock images, fonts, libraries) used in the project retain their original licenses.
• Source Code: For custom development, source code is provided in full, except for proprietary tools and libraries.

Project Timeline

We are committed to delivering projects on time. However, the following factors may affect the timeline:

• Timely provision of content, feedback, and approvals by the client
• Scope changes or additional feature requests
• Unforeseen technical challenges or third-party issues
• Client-side dependencies (e.g., hosting setup, domain configuration)

We will communicate any delays promptly and work with you to adjust the timeline accordingly.

Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information
• Respond to queries, provide feedback, and approve deliverables within reasonable timeframes
• Ensure you have the rights to any content (images, text, logos) provided
• Make payments according to the agreed schedule
• Maintain backups of your data and content

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes:

• Business plans, strategies, and financial information
• Project specifications and requirements
• Technical details, source code, and system architecture
• Personal data and client information

Confidentiality obligations survive the termination of this agreement.

Limitation of Liability

THOFFICIAL is committed to delivering high-quality work. However, to the extent permitted by law:

• We are not liable for any indirect, incidental, or consequential damages
• Our liability is limited to the total amount paid by the client for the specific project
• We are not responsible for data loss, security breaches, or damages resulting from third-party services
• We do not guarantee that our software will be error-free or uninterrupted

Termination

Either party may terminate a project engagement under the following conditions:

• By Client: Written notice with 7 days' notice. The client is responsible for payment for work completed to date.
• By Agency: Written notice if the client fails to make payments, breaches terms, or does not provide necessary information.
• Mutual Agreement: Both parties may agree to terminate the project at any time.

Governing Law

These Terms & Conditions are governed by the laws of Pakistan. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Abbottabad, Pakistan.

Changes to Terms

We reserve the right to update these Terms & Conditions at any time. Changes will be posted on this page with an updated revision date. Your continued use of our services constitutes acceptance of the updated terms.
